Terms of Service
These terms govern your use of JustFiled ("the Service"), operated by ThinkX ("we", "us"). By downloading a sample, subscribing, or using any data supplied by the Service, you accept these terms.
1. What the Service provides
JustFiled compiles newly registered business entity records from Colorado Secretary of State public records and delivers them as a periodic CSV file. We clean, normalise, deduplicate and categorise those records. We do not create the underlying data and we are not the system of record for it.
2. Acceptable use
You may use the data for business-to-business marketing, prospecting, direct mail, market research, and enrichment of business records in your own systems.
You may not use the data for any purpose regulated by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.), including but not limited to:
- employment screening, hiring, promotion, reassignment or retention decisions;
- tenant screening or any housing decision;
- credit eligibility, underwriting, or account review decisions;
- insurance eligibility or underwriting determinations;
- any other determination of an individual's eligibility for a product, service or benefit.
JustFiled is not a consumer reporting agency, the data is not a consumer report, and it has not been assembled or evaluated for any FCRA-regulated purpose. If your intended use is regulated by the FCRA, you must not use this Service.
You further agree not to:
- resell, sublicense, republish or redistribute the raw data files, in whole or in substantial part;
- share your subscription or delivered files with any third party outside your organisation;
- use the data to send unlawful communications, including communications that breach the CAN-SPAM Act, the Telephone Consumer Protection Act, or any applicable state law;
- use the data to harass, defraud or target any individual;
- represent the data as endorsed by, affiliated with, or supplied by the State of Colorado.
You are solely responsible for the legality of your own outreach, including maintaining any required suppression lists and honouring opt-out requests.
3. Subscriptions, billing and cancellation
Subscriptions are billed in advance through Stripe on a recurring basis until cancelled. Prices are in US dollars and exclude any taxes that may apply in your jurisdiction. You may cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then.
If a delivered file is materially defective or the Service does not work for you, contact us within 30 days and we will refund the current billing period and cancel the subscription. Beyond that, fees already paid are non-refundable.
Founding-member pricing, where offered, is honoured for as long as the subscription remains continuously active. If it lapses, renewal is at the then-current price.
4. Accuracy and no warranty
The data is supplied "as is". It reflects what the public registry contained at the time we pulled it. Registry records may be incomplete, out of date, mistyped by the filer, or subsequently amended. We do not verify the records, we do not guarantee that any listed business is trading, solvent, contactable, or accurately described, and we do not warrant fitness for any particular purpose.
Industry categorisation is derived automatically from the business name and is a best-effort convenience. It is not authoritative and is frequently marked "Unclassified" where no confident determination can be made.
5. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business opportunity.
Nothing in these terms excludes any liability that cannot lawfully be excluded.
6. Indemnity
You agree to indemnify and hold us harmless against any claim, loss, liability or expense arising from your use of the data, including any use in breach of section 2.
7. Suspension and termination
We may suspend or terminate access immediately, without refund, if we reasonably believe you have breached the acceptable use terms - in particular any FCRA-regulated use or any resale of the data.
8. Changes
We may amend these terms. Material changes will be notified to active subscribers by email at least 14 days before they take effect. Continued use after that date constitutes acceptance.
9. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the courts located there.
